How to Set Up an LLC (SARL) in Algeria: Steps, Costs, and Required Documents

Published on June 17, 2026

The limited liability company, known in Algeria as a SARL (or EURL when there is a single partner), remains the go-to legal form for local entrepreneurs. It shields partners' personal assets, reassures banks and business partners, and works equally well for a neighborhood shop or a fast-growing start-up. Yet between drafting the articles of association, visiting the notary, and registering with the CNRC, the path can feel daunting. Here is what actually awaits you, step by step.

What a SARL is and why choose it

A SARL brings together two to fifty partners whose liability is capped at the value of their contributions. If you are on your own, you form an EURL, which follows the same incorporation rules. The share capital is set freely: you fix its amount in the articles and deposit it in the company's name. However modest, this capital must be deposited and frozen before registration, because the bank or notary will require a capital deposit certificate.

Documents to gather before you start

Assembling a complete file from the outset avoids the back-and-forth that stretches out timelines. Collect the following:

  • A valid national ID card (or passport) for each partner and for the appointed manager
  • Proof of registered office: title deed, lease agreement, or domiciliation certificate
  • The company's articles of association, defining the purpose, capital, distribution of shares, and the manager's powers
  • The minutes appointing the manager
  • A reservation of the company name with the CNRC
  • The capital deposit certificate issued by the bank

The incorporation steps

The process follows a precise order. First, you reserve the company name with the National Commercial Register Center (CNRC). Next, a notary drafts and authenticates the articles of association: this is mandatory for every SARL in Algeria, and the notary verifies the partners' identities, the legality of the corporate purpose, and the soundness of the contributions. You then deposit the capital and proceed to registration in the commercial register. Finally comes the publication of an incorporation notice in the Official Bulletin of Legal Announcements (BOAL), along with obtaining the company stamp and the tax identification number (NIF).

Visiting a licensed notary is not just one more formality: it is the notary who gives your articles their legal force and secures the entire incorporation.

How long it takes and what it costs

In practice, a full registration usually takes between 7 and 15 days, depending on how quickly the bank responds and the notary's availability. Costs break down into notary fees (proportional to the capital), CNRC registration charges, BOAL publication, and the making of the company stamp. Building these items into your start-up budget from the beginning prevents unpleasant surprises.

And after incorporation?

A company's life regularly generates deeds that go back through the notary: a transfer of shares when a partner joins or leaves, meeting minutes to record an important decision, or an amendment to the articles.
